Terms of Service
Last updated: October 17, 2026
Prepd ("Prepd", "we", "us") is a study planning service operated by Philip Seifert, an individual based in Miami, Florida, United States. When you use Prepd, you are entering into an agreement with Philip Seifert. By creating an account or continuing to use Prepd, you agree to these Terms.
1. What Prepd is
Prepd creates personalized study schedules from your exam dates, topics and free time, and offers study tools such as a focus timer, calendar export, and AI-generated flashcards and quizzes. Prepd is a study aid. It does not guarantee any grade or exam result.
2. Age and permission
If you are under 18, you must have permission from a parent or guardian to use Prepd, and a parent or guardian must agree to any paid subscription. If you use Prepd on behalf of an organization, you confirm you have authority to agree to these Terms for it.
3. Your account
- Give accurate information and keep it up to date.
- Keep your password private. You are responsible for activity on your account.
4. Acceptable use
You must not misuse Prepd, including by:
- using it for anything unlawful, fraudulent, or for spam;
- uploading content that infringes someone else's copyright or other rights;
- interfering with security — such as malware, probing, scraping, or trying to get around usage limits;
- reverse engineering, reselling, or redistributing the service.
5. AI features
- You are responsible for the notes and files you upload and must have the right to use them.
- AI output (flashcards, quizzes, topic lists) may be inaccurate or incomplete. Check important information against your class materials.
- Do not use AI features to create illegal, hateful or harmful content, deepfakes, malware, or to bypass safety filters.
- We may remove content, refuse or filter outputs, or restrict accounts that break these rules. Rights holders can report infringing content to prepd.feedback@gmail.com; repeated infringement leads to account suspension.
6. Your content
You keep ownership of what you add. You give us a limited permission to store and process it only so we can run Prepd for you.
7. Our ownership
Prepd's software, design, documentation and branding belong to Philip Seifert. We give you a limited, personal, non-transferable right to use Prepd within your plan.
8. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Paid plans (Basic and Ultimate) renew monthly until cancelled. Payment, billing, taxes, cancellations and refunds are handled under Paddle's Buyer Terms. See also our Refund Policy.
9. Service availability
Prepd is currently in beta. We work to keep it running well, but we can't promise it will always be available or error-free. Prepd is provided "as is", without implied warranties, to the fullest extent the law allows.
10. Suspension and termination
We may suspend or end access for a serious breach of these Terms, non-payment, security or fraud risks, or repeated rule-breaking. You can stop using Prepd anytime and delete your data in Settings. When an account ends, its data is deleted.
11. Limits of liability
To the extent the law allows, we are not liable for indirect or consequential losses (such as lost data or missed exams), and our total liability is limited to what you paid us in the 12 months before a claim. Nothing here limits liability that cannot legally be limited.
12. Governing law
These Terms are governed by the laws of the State of Florida, United States, and disputes will be handled in the courts of Miami-Dade County, Florida.
13. Changes and contact
We may update these Terms and will change the date above when we do. Questions: prepd.feedback@gmail.com.
